Davis Polk advised Credit Suisse Securities (USA) LLC, Goldman, Sachs & Co. and Morgan Stanley & Co. Incorporated as representatives of the several underwriters in connection with the SEC-registered secondary offering of 30,000,000 shares of common stock of NXP Semiconductors N.V. The underwriters also exercised an option to purchase an additional 4,431,000 shares from the selling stockholders. The aggregate price to the public was $1,033 million. The common stock is listed on the Nasdaq Global Market under the symbol "NXPI." The selling stockholders include a consortium of private equity funds advised by Kohlberg Kravis Roberts & Co. L.P., Bain Capital Partners, LLC, Silver Lake Management Company, L.L.C., Apax Partners LLP and AlpInvest Partners N.V., as well as the Philips U.K. pension fund and certain co-investors. NXP Semiconductors N.V. provides high-performance mixed-signal and standard product solutions that leverage its leading radio frequency, analog, power management, interface, security and digital processing expertise. These innovations are used in a wide range of automotive, identification, wireless infrastructure, lighting, industrial, mobile, consumer and computing applications. Headquartered in Eindhoven, the Netherlands, the company has approximately 24,500 employees working in more than 30 countries. The Davis Polk corporate team included partner Paul E.
